These Website Terms and Conditions (“Terms”) govern your access to and use of www.sparkefilms.net (“Website”).
The Website is owned and operated by Sparke Films Pty Ltd (650 148 977 (“Sparke Films”, “we”, “our” or “us”).
By accessing or using this Website, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree with these Terms, you must immediately cease using the Website.
If you purchase products or services through this Website, additional terms and conditions may apply. Where there is any inconsistency between those terms and these Terms, the additional terms will prevail to the extent of the inconsistency.
1. Definitions
In these Terms:
Services means any products or services offered by Sparke Films through the Website, including but not limited to screenplay assessments, script editing and development, production consultancy, budgeting, scheduling, finance planning, cashflow preparation, film and television production services, executive production services, visual effects, post-production services, educational resources, merchandise, digital content and any other products or services made available by us from time to time.
Website means www.sparkefilms.net and any associated webpages owned or operated by Sparke Films Pty Ltd.
User, you or your means any individual or entity accessing or using the Website.
Content means all information, text, images, graphics, photographs, logos, videos, audio, software, documents, downloads and other material available on the Website.
2. Eligibility
By accessing or using this Website, you represent and warrant that:
• you are at least eighteen (18) years of age or have the permission of a parent or legal guardian;

7. Payments
Unless otherwise stated, all prices displayed on the Website are in Australian Dollars (AUD) and include Goods and Services Tax (GST) where applicable.
Payment for Services must be made using the payment methods approved by Sparke Films and may be required in full or in part before work commences.
We reserve the right to refuse to commence or continue providing Services until payment has been received in accordance with the agreed payment terms.
Where a quotation or estimate has been provided, it is valid only for the period specified in the quotation unless otherwise agreed in writing.
Invoices are payable within the timeframe specified on the relevant invoice unless otherwise agreed.
Failure to pay an invoice when due may result in suspension or termination of the Services and recovery of any outstanding amounts.
8. Refunds and Cancellations
Unless otherwise required by law:
• fees for Services are non-refundable once work has commenced;
• cancellations made before work commences may be eligible for a full or partial refund at the discretion of Sparke Films;
• deposits paid to secure bookings or production services may be non-refundable where stated at the time of booking;
• digital products, downloadable content and online resources are generally non-refundable once access has been provided.
Nothing in this clause limits your rights under the Australian Consumer Law.
9. Turnaround Times
Any completion or delivery dates provided by Sparke Films are estimates only.
Whilst we make reasonable efforts to complete Services within estimated timeframes, delays may occur due to:
• project complexity;
• client revisions or approvals;
• availability of information;
• third-party suppliers;
• weather, production schedules or location availability;
• force majeure events; or
• circumstances beyond our reasonable control.
Estimated delivery dates do not form part of any contractual guarantee unless expressly agreed in writing.
10. No Guarantee of Results
Sparke Films provides professional creative, production and consultancy services based upon our experience and professional judgement.
We do not guarantee that our Services will result in:
• financing or investment;
• grant funding;
• commissioning or production;
• distribution;
• commercial success;
• awards or festival selection;
• audience reception; or
• any particular commercial or creative outcome.
Any opinions, recommendations or guidance provided by Sparke Films are intended to assist our clients but should not be interpreted as guarantees of future success.
11. Intellectual Property
Unless otherwise stated, all Website Content, including text, graphics, artwork, logos, trade marks, photographs, videos, software, designs, layouts, downloads and other material, is owned by or licensed to Sparke Films Pty Ltd and is protected by Australian and international intellectual property laws.
Nothing contained on the Website transfers ownership of any intellectual property rights to you.
Except as permitted by law or with our prior written consent, you must not reproduce, publish, modify, distribute, transmit, sell or commercially exploit any Website Content.

12. Unsolicited Materials
Sparke Films does not accept unsolicited screenplays, scripts, treatments, story ideas, concepts, proposals or other creative materials (“Unsolicited Materials”).
Please do not submit any Unsolicited Materials to Sparke Films by email, post, through this Website or by any other means unless we have expressly requested them in writing.
Any Unsolicited Materials received by Sparke Films may be deleted, returned unread or otherwise disposed of at our sole discretion.
To the maximum extent permitted by law, Sparke Films accepts no obligation of confidentiality, fiduciary duty, compensation or other responsibility in relation to any Unsolicited Materials. By submitting Unsolicited Materials contrary to these Terms, you acknowledge that Sparke Films may already be developing, producing or considering projects, concepts or ideas that are similar in theme, content or subject matter, and you agree that no claim may be made against Sparke Films solely because of such similarity.
Nothing in this clause excludes any rights that cannot lawfully be excluded.
13. Requested Materials
Where Sparke Films has expressly requested creative materials as part of an agreed engagement, business relationship or other authorised arrangement, those materials will be handled in accordance with the applicable written agreement between the parties.
Unless otherwise agreed in writing, ownership of all intellectual property in requested materials remains with the owner of that material.
Where requested materials contain confidential information, Sparke Films will take reasonable steps to protect that information and will only use or disclose it:
• to provide the agreed Services;
• with your consent;
• where required by law; or
• as otherwise permitted under the applicable written agreement.
These Terms do not create any obligation on Sparke Films to review, assess, develop or provide feedback on creative materials unless Sparke Films has expressly agreed to do so in writing.
14. Trade Marks
All trade marks, business names, logos, artwork, branding and other distinctive marks displayed on the Website are owned by or licensed to Sparke Films Pty Ltd or their respective owners.
Nothing contained on the Website grants any licence or right to use any trade mark without the prior written permission of the relevant owner.
Unauthorised use of any trade mark displayed on the Website is strictly prohibited.
